Terms of Service

1. Agreement to Terms
By accessing or using the PagingWho platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Service
PagingWho is an incident management platform that provides alert routing, on-call scheduling, escalation policies, and notification delivery. The Service includes the web dashboard, API, mobile applications, and all related services.
3. Account Registration
To use the Service you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access.
4. Subscriptions and Payment
Access to the Service requires a paid subscription. Fees are billed in advance on a monthly basis through our payment processor, Stripe. All fees are quoted in GBP and are exclusive of applicable taxes unless stated otherwise.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.
We reserve the right to change our pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorised access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit malware, spam, or malicious content
- Resell, sublicense, or redistribute the Service without our written consent
- Use the Service in a way that could harm other users or the platform
6. Your Data
You retain all rights to the data you submit to the Service ("Your Data"). By using the Service, you grant us a limited licence to process Your Data solely to provide, maintain, and improve the Service. We will not access Your Data except as necessary to operate the Service, provide support you request, or comply with the law.
You are responsible for the accuracy and legality of Your Data. You must not submit data that you do not have the right to share or that violates the rights of any third party.
7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service disruption caused by factors outside our reasonable control.
8. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by PagingWho and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.
9. Limitation of Liability
To the maximum extent permitted by law, PagingWho and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
Our total aggregate liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless PagingWho from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if you breach these Terms or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be deleted.
12. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you should stop using the Service and cancel your subscription.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
